1. Seller

These Terms of sale ("Terms") are offered by TrueSmartTech OÜ, a private limited company registered in Estonia (registry code 17189289). Contact: [email protected].

2. Acceptance

By clicking Buy now, completing payment, signing a quote, or otherwise ordering services from TrueSmartTech OÜ, you accept these Terms and the order details shown at checkout or in the written quote. If you do not agree, do not pay or order.

3. B2B only

Our packs, consulting, and project work are offered to businesses and professionals only (B2B). You confirm you are ordering in a business capacity, not as a consumer. Consumer withdrawal rights do not apply to these orders.

4. Services

TrueSmartTech OÜ provides engineering and AI services in three commercial forms:

  • Hourly consulting and development at the published hourly rate
  • Fixed-scope online packs (scope + hour cap locked before kickoff)
  • Custom projects under a scoped written quote

5. Packs — scope and hour caps

Each pack includes only the deliverables listed on the marketing card or order confirmation, up to the stated hour cap — whichever limit is reached first binds. Published hour caps:

  • AI Audit — up to 6 hours
  • AI Automation — up to 8 hours
  • Full in-house AI — up to 32 hours
  • Mobile App pack — up to 28 hours
  • Web App pack — up to 28 hours

Packs are provided as scoped only. Except as required by mandatory law, TrueSmartTech OÜ gives no other warranty, condition, or guarantee regarding packs (including merchantability, fitness for a particular purpose, or uninterrupted operation).

6. Prices and VAT

All published prices exclude VAT. Applicable VAT or similar taxes are added where required by law. The standard overage and consulting rate is €75 per hour excl. VAT, billed only after written agreement for work beyond the locked pack scope or hour cap, or as otherwise agreed in a quote.

7. Validity and delivery window

For paid packs and prepaid scoped work:

  • Kickoff must start within 30 days of payment.
  • The delivery window is a maximum of 90 days from payment. Unused hours forfeit at the end of that window with no cash value and no credit.
  • Client delays (missing access, decisions, materials, or kickoff checklist items) pause the work schedule but do not extend the delivery window unless TrueSmartTech OÜ agrees in writing.

8. Orders and payment

Online packs require payment in full before kickoff. Project and hourly work may use invoices or other payment terms stated in the written quote. Payment is final once completed through our payment provider (for example Stripe) or by bank transfer as invoiced.

9. Kickoff checklist and client obligations

Work starts after payment and after you provide the access, contacts, systems, and materials reasonably needed for the locked scope (the "kickoff checklist"). You warrant that you have the right to provide those materials and that using them as requested will not violate law or third-party rights. TrueSmartTech OÜ may suspend or cancel an order if the checklist remains incomplete for an unreasonable time, or if continuing would be unlawful or unsafe.

10. Timelines — reasonable efforts only

Any dates, durations, or "live in weeks" language are targets. TrueSmartTech OÜ uses reasonable efforts to meet agreed timelines and to mitigate delay risk. We do not commit to hard SLAs, uptime percentages, response-time guarantees, or penalty schedules unless a separate written agreement expressly says so.

11. Changes and overage

Work beyond the locked pack scope or hour cap, or beyond a written project scope, is optional and is billed at €75/h excl. VAT (or another rate stated in writing) only after written agreement. Project ranges on the website are estimates only and are not binding offers; the final price locks after written scope.

12. Suspension and cancellation by TrueSmartTech OÜ

TrueSmartTech OÜ may suspend or cancel an order if you breach these Terms, fail to pay, fail to complete the kickoff checklist within a reasonable time, request unlawful work, or if force majeure prevents delivery. Cancellation under this section does not create a right to a refund or credit.

13. No refunds or credits

Because packs and consulting are digital / time-based professional services, all sales are final. There are no refunds and no credits after payment — including for change of mind, unused hours, client delay, partial use, or convenience. Unused hours that expire under §7 have no cash value and no credit.

14. Chargebacks

You agree not to initiate a chargeback or payment dispute for convenience, change of mind, unused hours, dissatisfaction with scoped professional judgment, or similar reasons. Chargebacks are appropriate only for unauthorized payment (for example proven card fraud). Frivolous chargebacks may be contested with evidence of these Terms and your order.

15. Warranty — as scoped only

TrueSmartTech OÜ will perform services with reasonable professional care within the locked scope and hour cap. Packs and deliverables are provided as scoped only. Except as required by mandatory law, we disclaim all other warranties and conditions, express or implied.

16. No results, revenue, or API guarantees

TrueSmartTech OÜ does not guarantee business results, revenue, leads, conversions, model accuracy, third-party API uptime or behaviour, or uninterrupted integrations. Third-party platforms remain outside our control.

17. Intellectual property

Subject to full payment and unless a different written contract or license says otherwise, you own the project deliverables we create specifically for your order under the agreed scope. TrueSmartTech OÜ retains all rights in its tools, templates, productized packs, know-how, methods, and pre-existing materials, and may reuse and replicate them for other clients. Open-source or third-party components remain under their own licenses.

18. Limitation of liability

To the maximum extent permitted by law, TrueSmartTech OÜ's total liability arising out of or relating to an order is capped at the fees you paid to TrueSmartTech OÜ for that order. TrueSmartTech OÜ is not liable for indirect, incidental, special, consequential, punitive, or exemplary damages, or for lost profits, revenue, data, goodwill, or business opportunity, even if advised of the possibility.

19. Client indemnity

You will indemnify and hold harmless TrueSmartTech OÜ from claims, losses, and costs arising from your data, materials, instructions, or unlawful use of the deliverables, except to the extent caused by our wilful misconduct.

20. Confidentiality and force majeure

Each party will keep the other's non-public information confidential and use it only to perform the order, except where disclosure is required by law. Mutual NDAs may be signed before sensitive discussions.

Neither party is liable for delay or failure caused by events beyond reasonable control (force majeure), including outages of third-party cloud or payment providers, provided the affected party uses reasonable efforts to mitigate.

21. Governing law and courts

These Terms and any dispute arising from them are governed by the laws of Estonia. The courts of Tallinn, Estonia have exclusive jurisdiction, without prejudice to mandatory protections that cannot be waived.

22. Changes and contact

TrueSmartTech OÜ may update these Terms by posting a new version on this page with an updated "Last updated" date. The version in force at the time of your payment or written order acceptance applies to that order. Questions: [email protected].
